What this site is

Entity Upkeep is an independent, reader-funded reference on the filings a US business entity owes after it has been formed — annual and biennial reports, registered agent requirements, local licenses, registration in additional states, reinstatement after a lapse, and dissolution.

It is a publication and nothing more. It is not a formation service, a registered agent service, a compliance service, or a filing agent, and it will never become one. It has no ownership relationship with, and receives no fee, commission, referral payment, or affiliate revenue from, any company that sells those services or from any state agency. Nothing on this site is submitted on your behalf, and no page here creates any relationship between you and the site owner beyond that of writer and reader.

No professional advice

Content here is general information, not professional advice.

Specifically, this site does not tell you which entity type to choose, whether you have created a taxable presence or a filing obligation in a particular state, how a transaction should be reported, what your operating agreement means, whether a notice you received is enforceable, or what to do about a lawsuit that has been served on you. Those are questions for an attorney licensed in your state, a CPA or enrolled agent, or the agency that issued the notice — and in the case of a served lawsuit, a deadline is already running, so the answer is a lawyer, quickly.

Reading this site creates no attorney-client or accountant-client relationship of any kind. The site owner is neither an attorney nor an accountant and does not practise either profession.

Accuracy and currency

Guides are researched against official sources and dated on publication. Even so:

  • Filing rules, deadlines, and fees in this subject move constantly and independently of each other: legislatures amend business entity acts, secretaries of state change fee schedules and online portals, cities revise licensing ordinances, and federal reporting requirements can be rewritten mid-year — as happened to beneficial ownership reporting in 2026. A page that was correct on the date shown may have been overtaken by any one of these.
  • Requirements differ from state to state, and often from city to city within a state. Guides describe how a requirement generally works and point you to your own state's or locality's official page. The official page governs; this one does not.
  • A guide reflects the situation at the date shown on it, not necessarily today.
  • Errors happen.
